MAJOR HOLDINGS
In certain instances, a natural or legal person who acquires or disposes of shares or other financial instruments, or is entitled to acquire, dispose of or to exercise voting rights in Catena Media, is obliged to notify Catena Media if the said acquisition or disposal results in the person’s share of the voting rights in Catena Media exceeding or falling below certain thresholds. The obligation to notify is by way of a “shareholder’s notification” and applies when the person reaches, exceeds or falls below the thresholds of 5 percent, 10 percent, 15 percent, 20 percent, 25 percent, 30 percent, 50 percent, 75 percent and 90 percent of the voting rights.
A shareholder’s notification must be effected promptly, and no later than four trading days following the triggering event. The notification must be sent to [email protected].
Catena Media is required to publish the notification no later than three trading days after receipt. Such publication must take the form of a press release, as shown in the table, and include the notification document submitted by the shareholder.
The shareholder must also notify the national competent authority of Malta, the Malta Financial Services Authority (MFSA), of the acquisition or disposal of major holdings by email at [email protected].
Shareholders and other persons covered by the notification requirement are encouraged to use ESMA’s standard notification form, which is available here: standard form for major holdings. The form is also available on the MFSA website.

These regulations are based on the EU's Transparency Directive. As Catena Media has its registered office in Malta, the company, its shareholders and other relevant persons are subject to the information rules on major holdings applicable in Malta.
