In accordance with the decision by the Annual General Meeting 2017, the Nomination Committee of Catena Media Plc shall consist of four members. The three largest shareholders who wish to participate in the committee are entitled to appoint one member each. In addition, the Chairman of the Board of Directors of Catena Media Plc participates in the committee.

The members of the Nomination Committee have been appointed based on the ownership structure as per August 31, 2017 and consists of:

• Mikael Riese Harstad, Optimizer Invest Ltd (chairman of the Nomination committee)
• Öystein Engebretsen, Investment AB Öresund
• Lennart Francke, Swedbank Robur Fonder AB
• Kathryn Moore Baker, Chairman of the Board of Catena Media Plc

The Nomination Committee will prepare proposals for the Annual General Meeting 2018 regarding election of chairman and other directors of the board, election of auditor, matters regarding fees, election of chairman of the Annual General Meeting and resolution concerning the Nomination Committee.

The Annual General Meeting in Catena Media Plc will take place on April 26, 2018, by 9:30 am at Helio GT30, Grev Turegatan 30 in Stockholm, Sweden.
