Catena Media plc launches the voluntary tender offer for its existing hybrid capital securities

Catena Media plc (the “company”) announces the launch of the voluntary tender offer in respect of its existing hybrid capital securities with ISIN SE0014262192 (the “capital securities”) that was disclosed on 11 August 2026. The tender offer is subject to the terms described in the tender information document dated 21 August 2026 (the “tender information document”).
The company on 11 August 2026 announced its intention to offer the holders of the capital securities the opportunity to participate in a tender offer pursuant to which the company will repurchase capital securities for cash (the “tender offer”) at a price of 20.00 percent of the nominal amount of the capital securities, i.e. SEK 20 for every SEK 100 of nominal value (no capitalised interest or accrued but unpaid interest on the capital securities will be paid by the company in connection with the tender offer) (the “tender price”).
The company hereby launches the tender offer pursuant to which the company will repurchase capital securities subject to the terms described in the tender information document at the tender price.

The tender offer expires at 15:00 CEST on 4 September 2026, unless extended, re-opened, withdrawn or terminated, each in the sole discretion of the company. Any extension, re-opening, withdrawal or termination of the tender offer will be announced by the company by way of a press release. The company will announce the results and whether any capital securities will be accepted for purchase (as determined by the company in its sole and absolute discretion) pursuant to the tender offer approximately three business days after the expiration date. Settlement of the tender offer is expected to take place approximately five business days after the announcement of the results.
Holders whose capital securities are nominee-registered will not receive a tender instruction form and acceptance must be made in accordance with instructions from their nominee. Holders whose capital securities are directly registered with Euroclear Sweden participate by submitting the tender instruction form as set out in the tender information document.
The company has mandated ABG Sundal Collier AB to act as dealer manager and Aqurat Fondkommission AB to act as settlement agent for the tender offer. Gernandt & Danielsson Advokatbyrå KB is acting as legal advisor.
