Catena Media commences share buyback programme

On 11 August 2026, Catena Media plc (“the company”) announced that the board of directors had conditionally approved the repurchase of the company’s own fully paid-up shares to satisfy obligations to participants in the company’s outstanding long-term incentive programmes (“the incentive programmes”), subject to the satisfaction of certain preparatory steps under Maltese company law. All preparatory steps for the implementation of the share buyback programme have now been completed and the company will commence the share buyback programme.
The purpose of the buyback programme is to satisfy obligations to participants in the incentive programmes. The buyback programme will be implemented in accordance with the EU Market Abuse Regulation No 596/2014 (“MAR”) and the Commission Delegated Regulation No 2016/1052 (“Safe Harbour Regulation”). Acquisitions of shares will be made by ABG Sundal Collier AB, which will make its trading decisions concerning the timing of the repurchases of shares independently of the company.
Terms and conditions for the acquisitions of own shares
According to the board of directors’ resolution, any acquisition of own shares shall take place exclusively on Nasdaq Stockholm or another regulated market, in accordance with the Nasdaq Nordic Main Market Rulebook for Issuers of Shares, or otherwise applicable rules, and with the following terms and conditions:
- Acquisitions may be made on one or several occasions until the annual general meeting 2027, or the date falling 18 months from the extraordinary general meeting held on 30 June 2026, whichever comes first.
- Acquisitions of own shares may be made for a maximum amount of SEK 28 million.
- Acquisitions shall be made in accordance with the price limitations set out in the Nasdaq Nordic Main Market Rulebook for Issuers of Shares, which provides, among other things, that shares may not be purchased at a price higher than the higher of the price of the last independent trade and the highest current independent purchase bid on Nasdaq Stockholm.
- Acquisitions may not be made at a price lower than the lowest price at which an independent acquisition can be made.
Total number of shares in the company and the company’s holding of own shares
In accordance with the authorisation from the extraordinary general meeting on 30 June 2026, the company may repurchase up to 7,877,444 of its own shares, to the extent that its holding of its own shares, at any point in time, does not exceed ten (10) per cent of the company’s total issued share capital.
On this basis, the board of directors has resolved that the company shall repurchase up to 4,713,747 shares under the buyback programme, for the purpose of satisfying part of the company’s obligations to participants in the incentive programmes. The company currently holds 3,124,309 shares in treasury which, in accordance with the terms of the share buyback programmes pursuant to which they were acquired, were acquired for the sole purpose of reducing the company’s share capital and are intended to be cancelled.
Reporting of completed acquisitions of own shares
Completed acquisitions of own shares will be reported in accordance with applicable laws and regulations.
