Catena Media announces outcome of warrants exercised post-Q2 2022 report subscription period

Catena Media plc (“Catena Media” or the “company”) today announces the outcome of the subscription period following the publication of the interim report for the second quarter of 2022 (“subscription period”) of the warrants 2020/2024 (“warrants”) issued as part of the rights issue of units.

Exercise of warrants

A total of 2,031 warrants, corresponding to approximately 0.01 percent of all outstanding warrants (being approximately 0.004 percent of all warrants issued as part of the rights issue), were used to subscribe for the same number of new ordinary shares in the company. The subscription price for each share was SEK 18.90. Payment for the new ordinary shares was made in cash totalling approximately SEK 10,100 and by set-off of the company’s hybrid capital securities (“capital securities”) totalling SEK 28,300.

A total of 528 subscribed shares were paid exclusively in cash, and 1,503 were paid by set-off and in cash. Holders who paid for their shares by set-off had to pay an additional cash amount to cover remaining parts of the subscription price (that is, to the extent the subscription price exceeded the nominal amount of the capital securities used for set-off), meaning that the company will receive approximately SEK 10,100 in total cash before issue costs. In total, 283 capital securities (each with a nominal amount of SEK 100) were used to subscribe for the 1,503 shares paid by set-off and in cash, meaning that a total nominal amount of SEK 28,300 of the company’s capital securities was used for set-off purposes.

The total outstanding nominal amount of the capital securities will be reduced from SEK 549,272,100 to 549,243,800 SEK through a cancellation of the capital securities used for the aforementioned set-off in accordance with the securities’ terms and conditions.

Increase in number of shares and share capital

The exercise of warrants during the subscription period will raise the number of shares in Catena Media by 2,031, from 76,321,964 to 76,323,995. The share capital will increase by EUR 3.05, from EUR 114,482.95 to EUR 114,485.99.

Other information

The shares subscribed by the exercise of warrants are expected to be delivered and admitted to trading on Nasdaq Stockholm following registration with relevant authorities.

The next period to subscribe for shares by exercise of warrants will commence on the day following the publication of the company’s interim report for the third quarter of 2022 (expected to be 17 November 2022). Subsequent subscription periods will follow the publication of each quarterly report up to and including the report for the second quarter of 2024.
